1. Introduction

   1. Sheep-Me Sàrl (“Sheep-Me”) is a limited liability company under Swiss law, whose registered office is located at Route des Flumeaux 45, 1008 Prilly, Switzerland. It may be contacted by telephone at 058 590 88 89 or by e-mail at info@sheep-me.com. It is registered with the commercial register under number CH-550.1.256.887-6.

   2. Sheep-Me owns and operates the website “https://sheep-me.com” (the “site”) and determines its content; it owns the related domain name.

   3. The purpose of Sheep-Me is to operate the site and any related mobile application (together: the “platform”), which allow any person registered as a buyer, by creating an account, to order consumable goods (“products”) from third-party sellers and to have them delivered by Sheep-Me, and any person registered as a seller, by creating an account, to offer products for sale, in accordance with the applicable legal framework, including the general terms and conditions appearing on the platform.

   4. Any access to and/or use of the site implies acceptance of and compliance with all of these website terms of use (“Terms”). By continuing to browse the site or by using its features, every internet user acknowledges that they have read, understood and accepted these Terms.

   5. The processing of personal data in connection with access to the site, use of the platform, social logins, notifications and associated services is governed by Sheep-Me’s General Data Protection Statement, available on the platform.

   6. If these Terms are available in several languages, only the French version is authoritative, the others being provided strictly for illustrative purposes.

2. Browsing the site and using its features

   1. Apart from registration on the platform, by creating a buyer or seller account, and subsequent login to that account (“login”), the features of the site are limited and it is not possible, in particular, to order products or sell them.

   2. When not logged in, the content of the site is presented to internet users solely for informational, illustrative and/or advertising purposes, and the information appearing on the site may not be interpreted, unless expressly stated otherwise, as an offer to enter into any contract with any person whatsoever.

   3. There is no right to register, create a buyer or seller account, or use the platform, which Sheep-Me manages freely.

   4. Sheep-Me makes every effort to ensure that the information appearing on the site is accurate, complete and up to date. However, internet users are made aware of the following:

   • the information contained on the site may be modified by Sheep-Me at any time and without notice;

   • Sheep-Me does not guarantee the accuracy, completeness, availability and/or relevance of the information present on the site;

   • Sheep-Me disclaims all liability if the information available on the site is or becomes inaccurate or incomplete.

   5. Sheep-Me strives to ensure reliable and continuous operation of the site. However, it cannot guarantee uninterrupted and incident-free use of the site and the features it offers, including after registration on the platform and login, nor that the site will be free of viruses, failures or errors. Sheep-Me may under no circumstances be held liable for damage resulting from access to the site, its use, or the impossibility of using its features.

   6. The site and all its components, including logos, images, photographs, drawings, domain names and all other content (“Intellectual Property Rights”), are the exclusive property of Sheep-Me or have been subject to prior authorization for use by third parties. The Intellectual Property Rights are protected by Swiss intellectual property law, in particular copyright and trademark law. Any reproduction or reuse of the Intellectual Property Rights is subject to Sheep-Me’s prior express written authorization.

   7. The site must be used in a normal manner; it must therefore not be used for unlawful purposes or for any purpose other than that for which it is made available to internet users. Any misuse may give rise to a claim for damages and/or constitute a criminal offence.

   8. Links to third-party websites may be offered on the site. Where applicable, such links are provided for convenience. Sheep-Me disclaims all liability concerning the content, accuracy or operation of such third-party sites. The inclusion of links to other websites does not mean that Sheep-Me approves their content.

3. Jurisdiction and applicable law

These Terms are governed by Swiss law.

Any dispute arising from these Terms falls within the exclusive jurisdiction of the courts at Sheep-Me’s registered office.
